Terms of Service

Welcome to ScopeIQ. These Terms of Service ("Terms") govern your access to and use of the ScopeIQ website, applications, APIs and related services (collectively, the "Service"). By creating an account, purchasing a subscription, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

ScopeIQ is a software-as-a-service platform providing SEO intelligence tools, including backlink analysis, keyword research, rank tracking, site auditing, competitor analysis and content research. We may add, modify or remove features at any time, provided such changes do not materially reduce the core functionality of the Service during a paid subscription term.

2. Eligibility and Accounts

You must be at least 18 years old and capable of entering into a binding contract to use the Service. When you create an account you agree to:

3. Subscriptions, Billing and Renewal

ScopeIQ is offered as a paid subscription with two billing cycles:

Payments are processed by our merchant of record, Freemius, Inc. By purchasing a subscription you also agree to the Freemius terms of use and privacy policy presented at checkout. Freemius handles payment collection, invoicing, applicable sales tax/VAT, and refunds on our behalf.

Subscriptions renew automatically at the end of each billing cycle unless cancelled beforehand. Prices may change; we will give you at least 30 days' notice by email before any price change takes effect, and changes will apply only from your next renewal.

4. Cancellation and Refunds

You may cancel your subscription at any time from your account dashboard or via the Freemius customer portal. Cancellation takes effect at the end of the current billing period; you retain access until then. Except where required by law, fees already paid are non-refundable. If you believe you were charged in error, contact us at support@scopeiq.dev within 14 days of the charge and we will review your case in good faith.

You agree not to, and not to permit any third party to:

6. Your Data and Our Data

Your data. You retain all rights to the projects, domains, keyword lists and other inputs you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service.

Our data. The Service's indexes, metrics, scores and reports are owned by ScopeIQ or its licensors. Your subscription grants you a non-exclusive, non-transferable license to use exports and reports for your own business purposes (including work you perform for your clients), but not to redistribute them as a standalone dataset or competing service.

7. Intellectual Property

The Service, including its software, design, trademarks and content (excluding Customer Data), is owned by ScopeIQ and protected by intellectual property laws. No rights are granted to you other than those expressly set out in these Terms.

8. Third-Party Services

The Service may interoperate with or display data derived from third-party sources and services (for example, payment processing via Freemius). We are not responsible for third-party services, and your use of them may be subject to separate terms.

9. Disclaimers

The Service is provided "as is" and "as available." SEO metrics such as difficulty scores, traffic estimates and domain ratings are statistical estimates, not guarantees. We do not warrant that the Service will be uninterrupted, error-free, or that use of the Service will result in improved search rankings. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, ScopeIQ will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or goodwill, arising out of or related to these Terms or the Service. Our total aggregate liability for all claims in any 12-month period will not exceed the amounts you paid to us for the Service in that period. Nothing in these Terms limits liability that cannot be limited by law, including liability for intentional misconduct or gross negligence.

11. Indemnification

You will indemnify and hold harmless ScopeIQ from claims, damages and expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Service.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within 14 days of notice (or immediately for serious breaches such as unlawful use or data scraping). Upon termination, your right to use the Service ends; sections that by their nature should survive (including Sections 6–11) survive termination.

13. Changes to These Terms

We may update these Terms from time to time. For material changes we will notify you by email or in-app notice at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws applicable at ScopeIQ's principal place of business, without regard to conflict-of-law rules. The parties will first attempt to resolve any dispute informally by contacting each other; if a dispute cannot be resolved informally within 30 days, it will be submitted to the competent courts at ScopeIQ's principal place of business, unless mandatory consumer-protection law provides otherwise.
